Target Distribution Rate

7.25% p.a. variable*^^ (7.50% p.a. compounding). The distribution rate primarily moves with changes in the RBA cash rate. The rate also reflects movements in performance factors such as portfolio mix, loan pricing and cash levels.

0.70% p.a., including a performance‑aligned component of 0.40% p.a. only payable when benchmark returns are met

Performance Benchmark

RBA cash rate + 1.65% p.a. (5.50% p.a. at reference date)^. We typically expect Target Distribution Rate outperformance of the Benchmark to be broadly maintained.^^

Improved asset selection

The Fund targets loan assets with restricted product and risk profiles and applies robust credit assessment standards:

– Maximum loan size $10m;

– Loans above $2m capped at 50% of the pool;

– Maximum average LVR <=75%.

The Fund applies conservative and detailed portfolio concentration limits delivering more diversification and removing risk of undisclosed concentrations.

Stronger investor protections

Structural enhancement and protection of investment performance:

– Two dedicated reserves strengthen performance reliability:

– 1. Arrears Reserve 0.20% of AUM

– 2. Portfolio Reserve Target 0.40% of AUM

– Best-practice support for redemption liquidity. ORDE maintains comprehensive, committed alternate funding sources to purchase mortgage assets from the Fund upon request.

Low fees

Premium Wholesale Round management fee of 0.70%. p.a.^^

Of the management fee, 0.40% p.a. is aligned with investor performance and is only payable once investor returns exceed the Performance Benchmark.

A low borrower fee model applies, with investors receiving all default interest. ORDE discloses upfront and activity-based fees.

How to Invest

Step 1: Review the Offer Documents

Prior to making an investment, investors should carefully review all offer and disclosure documents, including the Information Memorandum, Side Letter, Constitution and any other material provided in connection with the Fund. Investors should satisfy themselves that the investment is appropriate for them having regard to their investment objectives, financial situation and needs. Independent professional advice should be obtained where considered appropriate.

Step 2: Confirm Investor Eligibility

Investment in the Fund is currently available exclusively to Wholesale including sophisticated Investors, as defined under section 761GA of the Corporations Act 2001 (Cth). Investors will be required to provide a valid Wholesale Investor Certificate or other acceptable evidence of wholesale status prior to the acceptance of any application.

Step 3: Submit Application Documentation

To register your interest in the Fund, investors must complete and submit the Application Form, Subscription Deed and Side Letter in full. This includes investor identification details, AML/CTF information, taxation details, wholesale investor certification, and nominated distribution instructions. Completed application documents should be submitted via email to [email protected].

Step 4: Application Review and Acceptance

All applications are subject to review and acceptance by the Responsible Entity, acting in accordance with the Fund’s Constitution and applicable law. The Responsible Entity reserves the right to accept or reject any application, in whole or in part, at its sole discretion.

Step 5: Funding of Investment

Following confirmation that an application has been accepted, investors must transfer the subscription monies via electronic funds transfer to the Fund’s designated application account. Payment details are set out in the Subscription Deed.

Step 6: Confirmation of Investment

Upon acceptance of the application and receipt of cleared funds, investors will receive a Confirmation of Investment, and their holding will be recorded in the Fund’s register. Distributions will be paid in accordance with the Fund’s distribution policy, as outlined in the Information Memorandum.
